Minutes of 2005 Annual General Meeting

Present: 51 Members of NTFC Supporters Limited signed the attendance register

The meeting to be opened by Anthony Collett, who welcomed members and reminded everyone that if a vote is required on any issue that only Shareholding Members are eligible to vote.

The minutes of the 2004 AGM were taken as read. Tony Gammage proposed that the minutes should be adopted and Andy Durrant Seconded the proposal which was carried unanimously.

There were no matters arising.

A copy of the Chairman’s Report had been passed to members at the meeting. The Chairman spoke about items in his report and thanked all board members and helpers, but gave special thanks to the work performed by Vince and Trina Smith.

A copy of the Secretary’s Report had been passed to members at the meeting.

7. Treasurer's Report

A copy of the Treasurer's Report had been passed to members at the meeting.

Monty Lynds from Clifford Towers then explained to members the format of the Accounts and how the assets of Northampton Town Supporters Trust had been transferred to NTFC Supporters Limited.

Jim Tomlin proposed that the Accounts were adopted, Tony Platt Seconded the proposal which was carried unanimously.

Trina Smith proposed that Clifford Towers should be appointed as Auditors for the next Financial Year, Tony Platt Seconded the proposal which was carried unanimously.

Four existing Directors had not offered themselves for re-election they were:

The Chairman thanked the retiring Directors for all their past efforts not only for NTFC Supporters Limited but for Northampton Town Supporters Trust. He hoped that they would all continue to have some involvement with NTFC Supporters.

There were 4 nominations from Members who wished to put themselves forward to be Directors and as this matched the number of retiring Directors and election was not required. The new Directors appointed were:

The Chairman welcomed the new Directors and thanked them for putting themselves forward for the positions and stated that up to 2 additional Directors may be co-opted at the next Board Meeting of NTFC Supporters Limited which is scheduled for 2^nd December.

1. Appointment of President and Vice Presidents.

The Chairman announced that the Board of NTFC Supporters Limited would like to propose that NTFC Supporters Limited are able to appoint an Honorary President and Honorary Vice President subject to the following conditions

1. These positions will be offered to members who have given exceptional service to NTFC Supporters Limited and/or Northampton Town Supporters Trust and persons to fill these positions will be nominated by the Board of NTFC Supporters Limited
2. The holders of these positions will not hold any additional rights or benefits other than the title of Honorary President or Honorary Vice President
3. Such positions will only be revoked by the Board of NTFC Supporters Limited

The proposal was accepted unanimously and in view of this the Chairman announced the appointment of Tony Platt as President and Brian Lomax as Vice President adding that the Board will consider further appointments in the future and members are welcome to suggest suitable persons.

Tony Clarke then made a presentation to Tony Platt in recognition to his past services to Northampton Town Supporters Trust and NTFC Supporters Limited.
